SEBI India: How India’s Securities Market Regulator Protects Investors and Oversees the Markets

India’s stock market is often described through its headline numbers: the rise and fall of the SENSEX, new IPOs, record trading volumes and the growing participation of individual investors. But behind the visible activity is a regulatory framework intended to make the market more transparent, orderly and accountable.

At the centre of that framework is the Securities and Exchange Board of India, better known as SEBI.

SEBI regulates India’s securities market, oversees market intermediaries and works to protect investors from fraudulent and unfair practices. Its responsibilities include developing the market as well as regulating it. The regulator’s statutory mandate is set out in the SEBI Act, 1992.

From a government initiative to a statutory regulator

SEBI was first constituted on 12 April 1988 as a non-statutory body through a Government of India resolution. It received statutory status in 1992, giving it legal powers under the Securities and Exchange Board of India Act, 1992. The Act’s provisions came into force on 30 January 1992.

The law gives SEBI a three-part mandate: protect investors in securities, promote the development of the securities market, and regulate that market. These objectives can reinforce one another, but they can also require difficult trade-offs. Rules must protect participants without unnecessarily obstructing legitimate capital formation and innovation.

SEBI’s powers extend beyond issuing regulations. It can register and regulate market intermediaries, inspect entities, conduct inquiries, investigate suspected violations and take enforcement action within its legal authority. It also exercises functions under other securities laws, including the Securities Contracts (Regulation) Act, 1956.

What does SEBI regulate?

SEBI’s jurisdiction covers a broad network of institutions and activities within India’s securities markets. Its work affects not only stock exchanges, but also the intermediaries and market participants through which investors access financial products.

Its regulatory responsibilities include:

  • Stock exchanges: Oversight of recognised securities exchanges and their market operations.

  • Stockbrokers and intermediaries: Registration and regulation of brokers, investment advisers, merchant bankers, portfolio managers and other specified entities.

  • Listed companies: Requirements relating to disclosures, corporate governance and obligations to shareholders.

  • Investment products: Regulation of mutual funds and other securities-market products and activities within its remit.

  • Market misconduct: Action against prohibited practices such as insider trading, market manipulation and fraudulent or unfair trade practices.

SEBI is not the regulator for every financial product in India. The Reserve Bank of India, the Insurance Regulatory and Development Authority of India, the Pension Fund Regulatory and Development Authority and other authorities have separate responsibilities. The applicable regulator depends on the product, institution and activity involved.

That division matters. A financial product promoted online does not automatically fall under SEBI simply because its advertisement uses words such as “investment”, “trading” or “returns”.

Three regulations investors should know

SEBI’s regulatory framework includes numerous regulations, circulars and directions. Three sets of regulations are particularly relevant to listed companies, IPOs and market integrity.

1. LODR: Listing obligations and disclosure

The SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015—commonly called the LODR Regulations—set out continuing obligations for listed entities.

These requirements cover areas such as disclosure of material events, financial results, corporate governance and specified information that investors may need to assess a company.

The underlying principle is straightforward: investors should not have to rely exclusively on rumours, promotional presentations or selective statements from management. Timely and accurate disclosures help the market assess information on a more consistent basis.

Disclosure rules, however, cannot guarantee that every company will perform well. They provide a framework for transparency; investors still need to examine the information and understand the business.

2. PIT: Prevention of insider trading

The SEBI (Prohibition of Insider Trading) Regulations, 2015—known as the PIT Regulations—address trading based on unpublished price-sensitive information and related conduct.

The objective is to protect the integrity of securities markets by restricting unfair advantages arising from access to material information that is not generally available.

For example, information about a significant financial result, merger or other material development may affect a company’s share price once it becomes public. The rules seek to prevent people with privileged access from exploiting such information in prohibited ways.

Insider-trading cases can be complex. Not every profitable trade by someone connected with a company is automatically insider trading; the facts, information involved and applicable legal provisions matter.

3. ICDR: Capital raising and public issues

The SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018—commonly called the ICDR Regulations—govern important aspects of public issues and other specified capital-raising activities.

They establish requirements concerning matters such as eligibility, disclosures and procedures for securities offerings covered by the regulations.

For an IPO investor, the prospectus is an essential document. It contains information about the issuer, its business, financial position, risk factors and the terms of the issue.

An IPO is not a regulatory endorsement of a company’s future performance. Compliance with the applicable issue framework does not mean SEBI is promising that the shares will rise after listing.

SEBI, NSE and BSE: Who does what?

India’s securities market has several institutions with distinct roles.

Institution

Primary role

SEBI

Regulates and develops the securities market and protects investors

NSE and BSE

Recognised exchanges that provide trading and listing infrastructure

Stockbrokers

Provide investors access to exchanges and execute orders

Depositories

Hold securities in electronic form through the depository system

Clearing corporations

Support clearing, settlement and risk management

The distinction is important. NSE and BSE operate exchanges under the applicable regulatory framework; they are not substitutes for SEBI. Brokers provide market access, while depositories and clearing institutions perform separate infrastructure functions.

For retail investors, the practical implication is that a complaint or problem should be directed through the appropriate channel. A trading issue, a listed company disclosure concern and a dispute involving an unauthorised investment scheme may require different steps.

Investor protection in the age of online trading

Digital platforms have made market participation easier. Investors can open accounts, follow prices and place orders through mobile applications. The same convenience, however, can be exploited by fraudulent operators.

SEBI has repeatedly cautioned investors about unregistered entities, unrealistic return promises, misleading promotions and suspicious trading activity. Its investor education website provides guidance on due diligence, common scams, investor rights and complaint mechanisms.

In April 2025, SEBI issued a specific caution concerning “opinion trading platforms”. It noted that such arrangements generally involve outcomes linked to whether an event occurs, rather than trading in securities. SEBI said these platforms generally fall outside its securities-market regulatory purview, and participants should not assume that securities-market investor protections apply.

This is a useful example of why checking regulatory status matters. A platform’s use of familiar trading language does not establish that it is a SEBI-registered intermediary or a recognised stock exchange.

Investors should be especially cautious when a promoter promises assured returns, pressures them to act immediately, asks them to transfer money to personal accounts, or encourages trading through unofficial applications. SEBI’s guidance advises investors to check registration, understand the product and retain records of transactions and communications.

What can investors do if something goes wrong?

Investors should first identify the nature of the issue and the entity involved. For a securities-market complaint, SEBI’s published guidance describes a process that may involve approaching the relevant intermediary or company, then the stock exchange or depository where applicable, and using SEBI’s SCORES complaint-redressal system when appropriate. The exact route depends on the complaint and the relevant framework.

Investors should preserve contract notes, account statements, payment records, emails, messages and screenshots. These records can help establish what was promised, what transaction occurred and which entity was involved.

SEBI’s investor website also provides educational material on topics including account security, IPO applications, investment due diligence and recognising scams.

The existence of a complaint mechanism is valuable, but it should not be mistaken for an automatic guarantee of compensation. Outcomes depend on the facts, evidence, jurisdiction and applicable rules.

DOONITED View: Regulation is a safeguard, not a substitute for judgment

SEBI’s role is foundational to India’s securities markets. By setting rules, supervising intermediaries, addressing misconduct and promoting investor education, it helps establish the conditions in which companies can raise capital and investors can participate.

But regulation cannot remove every risk. A listed company can suffer losses, a share price can fall sharply, and investors can make decisions based on incomplete or misleading information. Even a regulated intermediary cannot guarantee investment returns.

The challenge is not simply to have rules on paper. Effective investor protection also depends on enforcement, clear disclosures, accessible grievance mechanisms and investors who understand what they are buying.

In the digital era, the first line of caution is often a simple question: Who is offering this product, and under which regulator’s authority? It is less exciting than a promise of quick profits—but considerably more useful.

Learning Point

SEBI is India’s statutory securities-market regulator. Its mandate combines investor protection, market development and regulation. Its rules govern important aspects of exchanges, intermediaries, listed-company disclosures, insider trading and capital raising.

For investors, the key lesson is to verify registration and regulatory status, read official disclosures, avoid assured-return claims and use recognised complaint channels when needed.

SEBI regulation is an important protection for market participants—but informed decisions and realistic expectations remain essential.
