Spinny’s IPO Move: What India’s Used-Car Market Says About the New Indian Consumer

A used car was once something you bought after calling three dealers, asking a mechanic to inspect it, negotiating until somebody looked offended, and then hoping the previous owner had been reasonably honest.

India is gradually building a different system.

On September 23, 2026, Reuters reported that Valuedrive Technologies, the company behind used-car platform Spinny and backed by Tiger Global, has confidentially filed draft papers with SEBI for an initial public offering. Because the filing is confidential, the final issue size, valuation and timetable should not yet be treated as settled facts.

But the bigger story is not the IPO itself.

It is what has happened to the Indian consumer in the years leading up to it.

The used car is no longer necessarily the car you buy because you cannot afford a new one. Increasingly, it can be the car you deliberately choose because you want more vehicle for the same budget.

And that changes the economics of the entire market.

India’s used-car market is getting bigger — and more organised

CRISIL estimated in 2025 that India’s used-car sales would cross roughly 6 million units, with the used-to-new car sales ratio reaching about 1.4 times, compared with less than one five years earlier. It also estimated the value of used-car sales at around ₹4 lakh crore.

The latest Mobility Intelligence Report 2026 from Autocar India and Spinny puts the market at 1.39 times the size of the new-car market, growing at roughly 11–13% annually, while the organised segment is growing at more than 20%. The study analysed more than 11,000 vehicle transactions across nine cities.

These numbers come from different methodologies, so they should not be treated as one perfectly comparable market-size series. But they point in the same direction: used cars have become a major automotive market in their own right.

India’s new-car market is also getting larger. SIAM reported record passenger-vehicle sales of 4.64 million units in FY2025–26, up 7.9%. More new cars entering the market eventually means more vehicles entering the pre-owned ecosystem.

That creates a useful cycle:

More new cars → more used inventory → more consumer choice → more organised resale → more financing → more buyers.

The surprising buyer is not always the bargain hunter

One of the most interesting findings from the 2026 Mobility Intelligence Report is that 80–82% of used-car customers in its sample were first-time car buyers.

That changes the traditional image of the second-hand market.

The used-car buyer may be a young professional buying a first SUV, a family upgrading from a hatchback, or someone who would rather purchase a three-year-old premium vehicle than a brand-new entry-level model.

The same report found that a three-year-old vehicle in its transaction sample had an average selling price of ₹8.38 lakh. It also found average depreciation of about 21% after one year, 33% after three years and 41% after five years.

In simple terms, depreciation can create a peculiar Indian bargain:

Someone else’s first-owner pain can become someone else’s second-owner opportunity.

That does not make every used car a bargain. It simply makes depreciation a central part of the buying equation.

The internet did not eliminate the dealer. It changed the dealer.

Buying a car online sounds strange until you consider what the internet actually does here.

A digital platform allows consumers to compare models, prices, kilometres, fuel types and locations before walking into a physical outlet.

The physical experience has not disappeared. Instead, it has moved later in the decision process.

That is important because buying a car is still a high-trust transaction.

An Indian Blue Book study cited by Autocar found that friends and family remained major sources of influence for used-car buyers, while dealers and mechanics continued to matter for assessing quality.

The lesson is straightforward:

Digital discovery does not necessarily replace human trust. It reorganises it.

A buyer may discover a car on a smartphone, compare five alternatives online, read reviews, inspect the digital documentation and then ask a mechanic or family member for the final reassurance.

The smartphone gets you to the shortlist.

Trust gets you to the payment screen.

Inspection is becoming a product

This is where organised platforms are trying to solve the oldest problem in the used-car business: What exactly am I buying?

Spinny currently says its certified vehicles undergo a 200-point inspection and that its Assured cars come with features including warranty coverage, a five-day money-back guarantee, paperwork support, home test drives and financing options, subject to terms and conditions. These are company offerings, not independent guarantees of vehicle quality.

That distinction matters.

The organised market is effectively trying to turn an uncertain product into a standardised one.

Instead of:

“Bhai, gaadi bilkul first class hai.”

the consumer increasingly wants:

inspection → documentation → valuation → warranty → finance → test drive → return policy.

That is not merely a prettier sales process. It is an attempt to create trust infrastructure.

Finance may be the real accelerator

Used cars become much more interesting as a mass market when financing becomes easier.

The 2026 Mobility Intelligence Report found that financing penetration in the pre-owned segment had doubled from about 16% to 32% over five years, while nearly 60% of transactions on organised platforms such as Spinny were financed.

CRISIL similarly identified better access to vehicle finance as one of the factors supporting used-car growth. It also noted that organised players are combining inspection, refurbishment, financing, insurance and doorstep delivery into integrated services.

This is an important shift.

The consumer is no longer simply asking:

“Can I afford this car?”

The question increasingly becomes:

“What is my total monthly cost of owning this car?”

That opens the market to consumers who may not have enough cash to buy a vehicle outright but can manage a structured loan.

Of course, financing also creates responsibility. A lower EMI does not automatically mean a cheaper purchase. Interest, tenure, insurance, maintenance, processing charges and depreciation still matter.

Convenience should not become an excuse to stop reading the paperwork.

Organised versus informal: the old market is not disappearing

India’s used-car ecosystem remains fragmented, with local dealers, brokers, manufacturer-backed programmes and digital platforms all competing for customers.

That fragmentation has advantages.

A local dealer can know the neighbourhood, understand local demand and sometimes offer flexible negotiations that a large platform cannot.

But the organised model is attacking some traditional pain points: inconsistent pricing, uncertain documentation, limited warranty protection, inspection uncertainty and financing friction.

CRISIL’s analysis also highlights the uncomfortable side of the organised model: high customer-acquisition, logistics and refurbishment costs have kept margins under pressure for many players.

This is perhaps the least glamorous part of the IPO story.

Selling a used car online is not like selling a digital subscription.

The car has to be acquired, transported, inspected, refurbished, photographed, financed, insured, delivered and eventually serviced or resold.

There is a physical car sitting somewhere in this supposedly digital business.

And that car refuses to live in the cloud.

Why are Indians now comfortable buying expensive things online?

The answer is not that Indians suddenly stopped caring about risk.

It is that digital commerce has gradually trained consumers to expect information before commitment.

Phones, electronics, travel, financial products, food and increasingly vehicles can all begin their buying journey online.

The used-car industry is extending that behaviour into a much larger-ticket purchase.

But cars are different.

A ₹1,500 online purchase can be returned with irritation.

A ₹8 lakh mistake is an argument with your bank manager.

That is why the used-car industry’s next stage depends less on flashy apps and more on verification, transparent pricing, vehicle history, financing, after-sales service and measurable quality standards.

The interface may be digital.

The liability is very real.

So, what does Spinny’s IPO filing actually tell us?

It tells us that an important part of India’s consumer economy has become substantial enough to enter the public-markets conversation.

It does not, by itself, prove that Spinny has solved profitability, that the entire used-car industry is mature, or that every digital used-car business will succeed.

In fact, CRISIL has explicitly pointed to profitability challenges among organised players and the continuing importance of funding and liquidity.

The IPO should therefore be viewed as a market-development signal, not a certificate of success.

If the company eventually reaches the public market, investors will ultimately have to examine inventory turnover, margins, cash generation, customer acquisition costs, financing exposure, refurbishment costs and the economics of each vehicle sold.

That is where the romance of the startup story meets the arithmetic of a balance sheet.

The next challenge: electric used cars

There is another question waiting around the corner.

What happens when today’s EVs become tomorrow’s used cars?

The 2026 Mobility Intelligence Report highlighted EV resale as an emerging challenge because battery health, technology changes and residual-value benchmarks remain less predictable than for conventional vehicles.

This could become one of the industry’s biggest trust tests.

A used EV buyer may eventually want something more sophisticated than an odometer reading.

They may ask for:

  • Battery health
  • Charging history
  • Warranty status
  • Remaining battery warranty
  • Accident history
  • Software and component records
  • Expected residual value

The used-car industry may therefore evolve from vehicle inspection to vehicle-data certification.

DOONITED View: India’s new consumer is buying certainty

Spinny’s IPO move is interesting because it reflects something larger than one company’s ambition.

India’s consumer is increasingly willing to buy expensive products through digital channels — but not blindly.

The demand is for convenience backed by evidence.

That is the real transformation.

The old used-car market often sold the vehicle first and explained the uncertainty later. The organised market is trying to reverse that sequence: explain the car, price the risk, provide finance, offer protection — and then sell the vehicle.

That model still has weaknesses. Organised platforms have expensive logistics and refurbishment operations, and profitability remains a genuine test. Local dealers will continue to matter. Digital platforms cannot manufacture trust merely by putting a “certified” badge on a photograph.

But if the sector can make vehicle history, inspection, financing and resale values increasingly transparent, the used-car market could become one of India’s more important examples of formalisation through technology.

The real IPO story, therefore, is not simply about whether Spinny eventually lists.

It is about whether India has reached the point where “used” no longer automatically means “uncertain.”

Learning Point

For consumers, the lesson is simple: digital convenience is useful, but verification remains non-negotiable.

For the industry, the lesson is bigger:

The future of used cars will be built not only on more inventory, but on better information, better financing and better trust.

And for India’s new consumer, perhaps the definition of “smart buying” is changing too:

Not buying the cheapest car. Buying the most transparent deal.
